Terms of Service

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Site. If you are using the Site on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case “you” refers to that entity.

2. Permitted Use

We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site for your personal or internal business purposes, subject to these Terms. All rights not expressly granted are reserved.

3. Prohibited Conduct

You agree not to:

• Use the Site in violation of any applicable law, regulation, or third-party right
• Copy, scrape, harvest, mirror, frame, or systematically extract content from the Site without our prior written permission
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any portion of the Site, except to the extent such restriction is prohibited by law
• Probe, scan, or test the vulnerability of the Site, or breach or circumvent any security or authentication measure
• Interfere with or disrupt the Site, the servers or networks that host it, or any other user's use of the Site, including by deploying viruses, denial-of-service attacks, or excessive automated requests
• Use the Site to send unsolicited communications, advertising, or promotional material
• Submit false, misleading, or fraudulent information through any form on the Site
• Use any robot, spider, or other automated means to access the Site for any purpose without our prior written consent
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity

4. Services and Engagements

The Site is a marketing and informational website. Any web development, design, consulting, maintenance, or related services we provide are offered only under a separate written engagement agreement signed by both parties. Quotes, estimates, pricing, service descriptions, timelines, and outcomes shown on the Site are informational only and do not constitute an offer, guarantee, warranty, or binding commitment. No agreement is formed by your submission of an inquiry, scheduling of a call, or our acknowledgment of either.

5. Submissions and Feedback

If you submit ideas, suggestions, feedback, or other materials to us through the Site (other than personal information covered by our Privacy Policy and confidential information exchanged under an engagement agreement), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and incorporate such materials for any lawful purpose, without obligation or compensation to you. You represent that you have all rights necessary to grant this license.

6. Intellectual Property

The Site and all content on it — including text, graphics, logos, icons, images, photographs, audio, video, code, design elements, layouts, case studies, and the selection, arrangement, and presentation thereof — is the property of Redrock Tech Solutions LLC or its licensors and is protected by United States and international copyright, trademark, trade dress, and other intellectual property laws. “Redrock Web Dev,” the Redrock logo, and related marks are trademarks of Redrock Tech Solutions LLC. You may not reproduce, distribute, modify, publicly display, publicly perform, republish, sell, license, or create derivative works of the Site or its content without our prior written permission, except as expressly permitted by these Terms or applicable law.

7. Copyright Complaints

If you believe content on the Site infringes your copyright, please send a notice that includes (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and its location on the Site; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the rights holder. 8. Third-Party Services and Links

The Site may contain links to, or embed content from, third-party websites or services (including scheduling and hosting providers). We do not control and are not responsible for the content, policies, practices, availability, accuracy, or security of any third-party service. Your interactions with third-party services are governed solely by the terms and policies of those services.

9. Disclaimer of Warranties

The Site and all content, materials, and information made available through it are provided “as is” and “as available,” with all faults and without warranty of any kind. To the maximum extent permitted by applicable law, Redrock Tech Solutions LLC and its officers, members, employees, contractors, agents, and licensors (collectively, the “Redrock Parties”) disclaim all warranties, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, course of performance, or usage of trade.

Without limiting the foregoing, the Redrock Parties do not warrant that the Site will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components, or that any content on the Site is accurate, complete, reliable, current, or suitable for your purposes. Any reliance on content from the Site is at your own risk.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will the Redrock Parties be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, data, or use, arising out of or relating to these Terms or your access to or use of (or inability to access or use) the Site, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not the Redrock Parties have been advised of the possibility of such damages.

In no event will the aggregate liability of the Redrock Parties arising out of or relating to these Terms or your use of the Site exceed one hundred U.S. dollars (US $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In those jurisdictions, the Redrock Parties' liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless the Redrock Parties from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any law or any third-party right, including intellectual property, privacy, or publicity rights; or (d) any content or information you submit through the Site. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.

12. Termination and Suspension

We may suspend or terminate your access to all or part of the Site at any time, with or without notice, for any reason or no reason, including if we believe you have violated these Terms. All provisions of these Terms that by their nature should survive termination will survive, including the provisions on intellectual property, submissions and feedback, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

13. Informal Dispute Resolution

Before filing any formal claim against the Redrock Parties, you agree to first contact us at info@redrockwebdev.com and provide a written description of the dispute and the relief sought, and to negotiate in good faith for at least sixty (60) days before commencing any formal proceeding. This informal-resolution requirement does not apply to claims to enforce intellectual property rights or to seek injunctive or equitable relief.

14. Governing Law and Venue

These Terms and any dispute arising out of or relating to these Terms or the Site are governed by the laws of the State of Nevada, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The exclusive venue for any action permitted under these Terms is the state and federal courts located in Clark County, Nevada, and you irrevocably consent to the personal jurisdiction of those courts and waive any objection to venue or forum non conveniens.

15. Changes to These Terms

We may modify these Terms at any time by posting the revised version on the Site and updating the “Effective” and “Last updated” dates above. Material changes will take effect no sooner than the new effective date. Your continued access to or use of the Site after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.

16. General Provisions

Entire agreement. These Terms, together with our Privacy Policy and any separate written agreement between you and us, constitute the entire agreement between you and Redrock Tech Solutions LLC regarding the Site and supersede all prior or contemporaneous communications, proposals, and agreements on that subject.

Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. Any waiver must be in writing and signed by us to be effective.

Assignment. You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, financing, or sale of assets.

Force majeure. We are not liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, power or internet failures, or third-party service disruptions.

Relationship. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and Redrock Tech Solutions LLC.

Headings. Section headings are for convenience only and have no legal or contractual effect.

Notices. Notices to us must be sent to info@redrockwebdev.com. We may give notice to you by email (if you have provided one) or by posting on the Site.
